About the Department:
The Company Secretarial team sits within the Legal, Regulatory and Compliance department. The broader team consists of the Legal team, the Compliance team and the Company Secretarial team, who all work closely together to provide support, advice and assurance to the company.
The successful candidate will report to the Company Secretary and assist with a broad range of Company Secretarial related matters both for firms in the UK and overseas. The Company Secretarial team provides assistance to a number of PRA, FCA and overseas regulated firms and to holding companies and other non-regulated firms.
Key Duties and Responsibilities:
·Assist with organising Board and Committee meetings
·Assist with calls for papers, collation and upload of Board packs to electronic board pack portal
·Attend and minute some Committee and Board meetings
·Prepare and complete filings at UK Companies House
·Liaise with overseas companies providing Company Secretarial services to our overseas entities
·Administer the annual director and Senior Manager declarations and Conflicts of Interest Registers
·Maintain company statutory registers on the Blueprint application
·Maintain organisational and executive charts
·Liaise with the Finance department on review, approval and filing of annual Financial Statements
·Assist with completion of simple corporate transactions
·Maintain governance policies and procedures, and support our review procedures
·Deal with routine enquiries relating to directorships, and ad-hoc due diligence requests
Key Skills, knowledge and experience
·Previous Company Secretarial experience, preferably in an insurance or financial services firm
·Associate of the Chartered Institute of Secretaries (ACIS) status or be on a path to ACIS
·Experience with Company Secretarial software such as Blueprint, and Electronic Board pack software
·Strong IT (Microsoft Office) skills including Word, Excel, Powerpoint and Outlook
·Strong written and spoken communication skills in the English language
·A high level of integrity and discretion at all times
·A desire to and develop their skills and expertise in this role and the Company Secretarial field
